Terms of Service

1. Who we are

This website and the PAXO mobile apps are operated by Paxo Technologies LLC ("PAXO", "we", "us", "our"), based in Pittsburgh, PA. PAXO is building a rideshare platform intended to launch in Pittsburgh, Pennsylvania, pending approval from the Pennsylvania Public Utility Commission (PUC).

2. What these terms cover

These terms apply to your use of this website and to your access to and use of the PAXO rider and driver mobile apps during their current pre-launch testing phase. They cover creating an account, signing in by mobile number, and receiving verification messages from us.

They do not yet cover paid rides, payments or driver engagement, because the service has not launched. When PAXO launches we will publish fuller terms governing rides, payments, driver agreements, insurance and platform use, which will replace these for anything relating to the service itself.

These terms replace the two documents this website carried previously: the app terms dated 28 July 2026 and the waitlist terms dated 14 July 2026. The waitlist terms are carried into sections 6 to 8 below.

3. PAXO has not launched

Important: PAXO is not currently operating as a transportation service. The apps are in testing while we prepare to launch, pending regulatory approval. We cannot guarantee that approval will be granted, or when.

Nothing on this website or in the apps is an offer to provide transportation, an offer of employment, or an offer of an independent contractor engagement. Creating an account during testing does not make you a PAXO driver, rider, employee or contractor, and no real trips or payments are processed at this stage.

In plain terms: please don't make significant financial decisions — such as buying a vehicle or leaving a job — based on a PAXO launch that has not yet been approved or scheduled.

4. Accounts and signing in

To use the apps you create an account and sign in using your own mobile phone number. When you tap the sign-in button, we send a one-time passcode (OTP) to that number by SMS so we can verify it belongs to you. You agree to:

• Provide accurate information about yourself, and use your own phone number — not someone else's.
• Keep your account and device reasonably secure, and not share your verification codes with anyone.
• Be at least 18 years old.

We may suspend or remove accounts at our discretion — for example, for abuse, fraud, or misuse of the testing environment.

5. Text messages (SMS)

When you enter your mobile number and tap the sign-in button in a PAXO app, you agree to receive a one-time verification code via SMS from PAXO. This is transactional messaging used to verify your number and sign you in.

• Message and data rates may apply.
• Message frequency depends on your activity — a code is sent only when you request to sign in.
• We do not send marketing or promotional texts through this messaging.
• No mobile information will be shared with third parties or affiliates for marketing or promotional purposes at any time.
• Reply STOP to stop receiving messages, or HELP for help.

6. Joining the waitlist

You may join the waitlist if:

• You are at least 18 years old.
• The information you give us is accurate and about yourself — not someone else.
• You are not using automated means to submit forms.

Joining is free and creates no financial obligation. You can leave at any time by emailing privacy@paxoride.com. We may remove anyone from the waitlist at our discretion — for example, for abuse, fraud, or duplicate or automated entries.

7. Founding member benefits

We describe benefits for founding drivers (priority approval, higher launch rewards, a Founding Driver badge, referral rewards) and founding riders (a $20 ride credit, early access, referral rewards). We fully intend to honour these.

However, please understand these are promotional offers, not contractual guarantees. They are:

• Conditional on PAXO actually launching in your area with regulatory approval.
• Subject to launch terms and availability, which we'll publish at launch.
• Subject to eligibility — for drivers, that includes meeting background check, licensing, insurance, and vehicle requirements at real onboarding.
• Non-transferable and with no cash value.

If we ever need to change a benefit materially, we will tell everyone on the waitlist by email before it takes effect. If PAXO does not launch, no benefits become payable and nothing is owed.

8. Referral codes and sharing

You may share PAXO with others. At this stage, sharing links are for spreading the word only — a full referral programme with tracked codes and rewards will be introduced at launch, with its own terms. Do not send unsolicited bulk messages or spam on our behalf.

9. Acceptable use

When using this website or the apps, you agree not to:

• Submit false, misleading, or someone else's information.
• Use bots, scripts, scrapers or automated tools against the site, the apps or our systems.
• Attempt to gain unauthorised access to the site, the apps, accounts or related systems.
• Interfere with the operation or security of the site or the apps.
• Use either for any unlawful purpose.

10. Our content

The PAXO name, logo, design, text and graphics on this website and in the apps are owned by Paxo Technologies LLC and protected by intellectual property law. You may not copy, reproduce or use them without our written permission, except for sharing links to the site as intended.

11. Provided "as is"

The website and the apps are in active development and testing. We provide them on an "as is" and "as available" basis, without warranties of any kind, to the fullest extent permitted by law. We do not warrant that they will be uninterrupted, error-free, or that any information in them is complete or current.

12. Limitation of liability

To the fullest extent permitted by Pennsylvania law, Paxo Technologies LLC and its members, officers and agents will not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of this website or the apps during this testing phase, or from joining the waitlist — including any decision you make in anticipation of a PAXO launch.

13. Changes to these terms

We are actively developing PAXO, so these terms will be updated as the product evolves and before launch. If we change them, we'll update the date at the top of this page; if a change is significant, we'll email everyone on the waitlist before it takes effect. Continuing to use the website or the apps after a change means you accept the updated terms.

14. Governing law

These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law rules. Any dispute relating to this website or the apps will be brought in the state or federal courts located in Allegheny County, Pennsylvania.
